CONSTITUTION AND BYLAWS

 

ARTICLE I - Name and Scope

 

Section 1 - The name of this organization shall be BellSouth Georgia Chapter 124, Telecom Pioneers of America.  Hereinafter referred to as the “chapter”.

 

Section 2 - This chapter was originally formed under charters of the Dixie Chapter, dated June 5, 1923, and the Dogwood Chapter 84, dated July 1, 1974, and as of July 1, 1996, the two chapters were combined to form the BellSouth Georgia Pioneer Chapter 124 as granted by the Telecom Pioneers of America - hereinafter referred to as the “Association”, and shall operate under the jurisdiction of the Association. 

 

Section 3 - This chapter is granted jurisdiction of the membership, primarily located in the state of Georgia, from the BellSouth Corporation, Nortel Corporation, and retirees of Lucent Technologies who are properly released from the jurisdiction of Lucent Technologies.  (Lucent retirees are not eligible to hold elected office in the Chapter, Councils, Clubs, or Life Member Clubs.

 

Section 4 - The headquarters of this chapter and all subordinate units shall be 1025 Lenox Park Boulevard, 6B63, Atlanta, Georgia 30319

  

ARTICLE II - Subordinate Units

 

Section 1 - For administrative purposes, the territory of this chapter may be subdivided into councils and in a similar manner the territory of the council may be subdivided into clubs and/or groups.

 

Section 2 - Each council shall be a constituent part of this chapter.  Each club or group shall be a constituent part of either the chapter or the council.

 

Section 3 - Groups consisting only of Life Members may be organized into units known as “Life Member Clubs”, each of which shall be a constituent part of the chapter, council, or club.

 

Section 4 - All subordinate units (including councils, clubs and Life Member clubs) shall be governed by the constitution and bylaws of this chapter; shall derive their authority from the executive committee of this chapter, and shall be established or abolished only with the approval of the chapter executive committee.

 

Section 5 - The councils, clubs, and Life Member clubs which have been authorized by the executive committee of this chapter shall be described in an appendix to the bylaws of  this chapter.  The description shall include the name given each subordinate unit, and the territory in which it operates.

 

 

ARTICLE III - Purpose

 

Section 1 - The purpose of this chapter and of its subordinate units shall be to carry on the work of Pioneering within its jurisdiction in accordance with the purpose of the Association, which is:

 

The purpose of the TELECOM PIONEERS OF AMERICA shall be to promote and participate in activities that respond to the community needs and problems, to provide a means of  friendly association of telecommunications employees and those retired; to foster among them, a continuing fellowship and a spirit of mutual helpfulness; to contribute to the progress of the Association and promote the happiness, well-being, and usefulness of the membership; to exemplify and perpetuate those principles which have come to be regarded as the ideals and traditions of the industry.

 

 

 ARTICLE IV - Membership

 

Section 1 - Any current or former employee of a sponsor company listed in section 2, below, shall be eligible for membership.  Membership is in the Association and, coincidentally, in the subordinate units established as chapter, councils, clubs, and Life Member clubs.

 

Section 2 - To be eligible for admission to membership, an individual must be a current or former employee of one of the sponsor companies as defined by the Association.

 

Section 3 - Regular members who retire from employment and receive a service pension or lump-sum payment in lieu of pension shall be granted Life Membership, effective the day following retirement.  Regular members, who otherwise leave the employment of a sponsor company, may apply for Life Membership upon attainment of age 55.  Life Members shall be entitled to all membership privileges but shall be exempt from payment of dues.

 

Affiliate Members of the chapter are entitled to the same privileges as other Life Members of the Chapter.  They retain the right to vote in their home chapter’s affairs.  Affiliate Members of the chapter shall be entitled to vote, hold office, and serve as a member of the executive committee; except that in no case will these privileges include the right to hold office in both the affiliate and home chapters simultaneously.

 

Any BellSouth Corporation or any of its subsidiary Life Members will be considered a Life Member in the chapter in which they reside.  BellSouth will not have an affiliate program for BellSouth retirees within their chapter’s jurisdiction.

 

Section 4 - Associate membership may be granted by the chapter executive committee to the spouse of a deceased regular member or Life Member who so desires.  An Associate Member may wear the Pioneer emblem and shall be entitled to vote, hold office, or serve as a member of the executive committee (at the Council or Club level).  An Associate Member shall be exempt from payment of dues.

 

Section 5 - Honorary membership may be granted to a person making a truly unusual or outstanding contribution to the Telephone Pioneers of America or to the telecommunication industry.  Such membership shall not be conferred upon anyone who could otherwise attain membership eligibility.  Honorary membership must be unanimously recommended by the chapter executive committee and concurred in by the Association vice president of the region concerned, and unanimously approved by the Association subcommittee on membership and the Association Executive Committee.  Honorary members do not have the right to vote or hold office, but are entitled to all membership privileges and may wear the Pioneer emblem.  Honorary members shall be exempt from payment of dues. 

 

Section 6 - Each member may designate one person to be his/her Partner and may change that designation from time to time.  When necessary and for the continuing good of Pioneering, chapters and their subunits may allow a Partner to be elected to an office and have voting privileges during that term of office.  Partners elected to office must pay Regular Member dues during their term.  A Pioneer Partner who chooses not to become a regular member shall be entitled to such privileges as the Chapter’s Executive committee may designate, except that in no case will these privileges include the right to vote or to hold an elective office.  A Pioneer Partner, other than those who hold office, is exempt from the payment of dues.

 

Section 7 - Membership in this chapter may be transferred to or from this chapter on changing work or residence location in accordance with the practices established by the Association and this Chapter.

 

Section 8 – An inactive Life Member Club will handle nonparticipating Life Members. Life Members can be moved back to their respective Council/Club at their request.

  

 

ARTICLE V - Officers and Executive Committee

 

Section 1 - The officers of this chapter and of each of its councils, clubs, groups, and Life Member clubs shall be a President, a Vice President, a Pioneer Administrator/Manager (Secretary at the subordinate unit level), and a Treasurer, if required.  The title Pioneer Administrator/Manager applies to that position where the incumbent is responsible for the full range of administrative functions specified in the Pioneer Practices.

 

Section 2 - There shall be an executive committee of this chapter and of each of its councils, clubs, and Life Member clubs, consisting of the President, immediate Past President, Vice President, two members-at-large, a  Pioneer Administrator/Manager, a

Treasurer (if required), two Life Member Representatives (at the chapter level only) and the Corporate Liaison Officer (at the chapter level only).

 

In addition, the Presidents of the councils shall be members of the chapter executive committee; the Presidents of the clubs shall be members of the council executive committee; and the Presidents of the Life Member clubs shall be members of the executive committee of their sponsoring unit or as specified by the chapter executive committee.

 

The chapter Life Member Representatives, being an elective office, shall be someone other than a Life Member Club President.

 

The President of each unit shall act as the chairperson of the unit’s executive committee.

 

The Pioneer Administrator/Manager (Secretary at the subordinate unit level) shall keep accurate records of the proceedings of the chapter/unit executive committee, give notice of all meetings and perform other duties for the chapter/unit executive committee as described in Article 1, Section 6, of the bylaws.  The Pioneer Administrators/Managers and Secretaries (and Treasurers, if required) shall be nonvoting members of their respective committees.

 

Section 3 - The Vice President of the chapter, councils, clubs, and Life Member clubs shall advance to the office of President of their respective units in the ensuring year, subject to the approval of the respective executive committee prior to nominations.  If, in any case the executive committee does not so approve, a President shall be elected by vote of the membership of the unit.  The Vice President, Members-at-Large,  and the Life Member Representatives shall be elected by vote of the voting membership of such unit.  The chapter Pioneer Administrator/Manager shall be appointed by the sponsoring company.  The unit administrator and Treasurer, if required, shall be appointed by the unit’s executive committee.

  

Section 4 - The terms of the President and Vice President shall be one year.  The terms of the chapter Life Member Representatives and Members-at-large shall be two years; their terms being staggered in alternate year.  The chapter Administrator/Manager (and the unit administrators and treasurers, if required) serve until a successor is named.  All terms begin on the first day of January, following their election of advancement, except in the case of the appointed members of the executive committee.

 

Section 5 - Any elected officer may, at their option and upon approval of two-thirds of the unit executive committee, the individual’s supervisor (if active employee), and the Region Vice President serve a maximum of three (3) consecutive terms in the same office.  The request

 for all units should be made by the nomination deadline, to the chapter executive committee to begin the approval process.  A person who has been appointed to fill a vacancy, in such an office, for the remainder of a term; may be nominated and elected to that office for the following terms. 

 

Section 6 - No member of this chapter shall hold more than one (1) elective position in the Pioneer organization at any one time.

 

Section 7 – When a vacancy occurs, the Nominating Committee shall bring nominations to fill the vacancy to the Executive Committee for approval.

 

 

 ARTICLE VI - Responsibilities of Executive Committee

 

Section 1 - The chapter executive committee shall be the governing body of this chapter with the responsibility in accordance with the provision of the Constitution and Bylaws of this chapter and of the Association.  It shall have the authority to establish or abolish councils, clubs, and Life Member clubs and to prescribe methods for their operation.  It shall have the power to fill vacancies in the offices and executive committee of the chapter when they occur in accordance with Article V Section 7, and to appoint delegates and alternates to the General Assembly of the Association, if this becomes necessary.  When the chapter is entitled to additional delegates to the General Assembly, as provided in the Association constitution and bylaws, the executive committee shall give serious consideration to providing proportionate representation of its Life Members, based on the ratio of regular members to Life Members on the rolls of this chapter.

 

Section 2 - Each council, club and Life Member club executive committee shall be the governing body of its respective unit with responsibilities in accordance with the provisions of the Constitution and Bylaws of this chapter and of the Association.  Each shall have the power to fill vacancies in the offices and executive committee of its respective unit, when they occur.

 

Section 3 - The chapter executive committee shall have the authority to prescribe regulations as to chapter and subordinate unit matters not specifically provided for herein, within the framework of this constitution and bylaws and the Association constitution and bylaws.

 

 ARTICLE  VII  -  Committees

 

Section 1 - Standing and additional committees shall be established to carry out the Pioneer objectives of the Association and to meet the specific needs of operating the chapter and its subordinate units.

 

 

ARTICLE VIII – Meetings

 

Section 1 - Meetings of this chapter or of any of its councils, clubs, or Life Member Clubs may be held at the call of its executive committee and  shall be held at the call of its executive committee and shall be held on petition of not less than 10 percent of the membership of the respective unit.  The Pioneer Administrator/Manager shall insure that notice of the meeting is provided to each member of the respective unit at least 20 days before the meeting or shall post or otherwise make a good faith effort to announce (see Note, below) to the unit membership the time and place of the meeting.  If an amendment to this constitution or to the bylaws is to be voted upon; the notice/announcement shall so state and identify generally the provisions which will be affected.  All eligible voting members present at a meeting of the Chapter, Clubs or Councils shall constitute a quorum for the transaction of business.

 

Note:  The Pioneer Administrator/Manager/Secretary shall insure that all possible means of publicizing the meeting are investigated and utilized, including company or chapter/unit publications, posters, Pioneer hotlines, bulletin boards and electronic or written announcements or hand-outs at meetings.

 

Section 2 - Meetings of an executive committee may be held at the call of its President and shall be held at the request of three (3) members of the committee.  Notice of the meeting shall be sent to each executive committee member of the respective unit at least ten (10) days before each meeting.  Two-thirds of the executive committee must be present or attending via conference call to constitute a quorum for the transaction of business.  This precludes the use of proxy votes.  However, executive committee members may designate a representative to act/vote in their stead if they cannot attend the meeting. 

 

ARTICLE IX - Administrative and Fiscal Years

 

Section 1 - The administrative and fiscal years of this chapter and its subordinate units shall run concurrently beginning on January 1 and ending on December 31.

 

ARTICLE X - Revenues

 

Section 1 - Application fees, other fees and membership dues are prescribed by the Association.

 

Section 2 - The funds of this chapter and of its subordinate units shall be derived from that portion of the fees and dues which may be apportioned to the chapter by the Association.  In addition, funds may be derived from fund-raising activities, from donations, and from other sources which have been approved by the chapter executive committee as consistent with the organization and operation of the Association.

 

Section 3 - The apportionment of funds (fees, dues, donations, etc.) to subordinate units shall be determined by the respective executive committees; e.g., chapter to councils and councils to clubs.

 

Section 4 - The BellSouth Georgia Pioneer Chapter 124 “Restricted - reserved for Charitable Causes” account is created exclusively for charitable, educational and

scientific purposes or for the prevention of cruelty to children or animals, including for such purses, the making of distributions to organizations that qualify as exempt organizations under United states Internal Revenue Law.

 

The principal and income of all property placed in the restricted accounts shall be used exclusively for charitable, education, and scientific purposes or for the prevention of cruelty to children or animals.  No part of the net earnings shall be used to the benefit of or be distributed to chapter members, trustees, officers, or other private persons, except that payments and distributions may be made in furtherance of the purposes as set forth in paragraph 1 of Section 4 above.

 

Upon the dissolution of the charitable fund, the executive committee, after paying or making provision for payment of all liabilities incurred in connection with the activities set forth in paragraph 1 of Section 4, above, shall dispose of all assets of the restricted account exclusively for the purposes specified in paragraph 1 of Section 4, above.

 

Section 5 – At least 50% of the dues collected from the active members for the Chapter

must be kept in reserve for the following Chapter year.

 

 

ARTICLE XI - Amendments

 

Section  1 - Amendments to this Constitution or to the Bylaws shall be proposed to the chapter By-Laws Committee for action only by the chapter executive committee.

 

Section  2  -  At any meeting of the chapter executive committee, action on any proposed amendment to this Constitution or to the Bylaws may be initiated by a two-thirds vote of the committee members present, provided notice of the proposed amendment was sent to each member of the committee at least ten (10) days prior to the meeting.

 

Section 3 - Proposed amendments to this Constitution or to the Bylaws shall be approved by the Association executive director and chief operating officer before being submitted to the chapter membership for action.

 

Section 4 - Each proposed amendment to the Constitution or to the Bylaws shall be voted upon by the Chapter Executive Committee for approval.  

 

At least 30 days before the date set by the chapter President for counting of ballots, the chapter Administrator/Manager shall send to each Executive Committee member, who is entitled to vote, or shall post or otherwise make a good faith effort to announce (see Note below) a sample ballot that lists the current and proposed amended test of the article(s) or section(s) in question and describes the reason for, and impacts of, each proposed amendment.  The affirmative vote of a least two-thirds of those voting shall be sufficient for the adoption of any proposed amendment. 

 

Note:  The Pioneer Administrator/Manager/Secretary shall ensure that all possible means of publicizing the amendment vote and the exercise of ballots are investigated and utilized, including company or chapter/unit publications, posters, Pioneer hotlines, bulletin boards, and electronic or written announcements or hand-outs at meetings.   

 

Section 5 - The appendix to the Bylaws, referred to in Article II, Section 5, of this Constitution, may  be amended by the chapter executive committee.

 

 BYLAWS

TELECOM PIONEERS

 

ARTICLE I - Powers and Duties of Officers and Executive Committee Members

 

Section 1 - The President of this chapter and the president of each of its councils, clubs, groups and Life Member clubs shall:

 

Preside at all meetings of the corresponding Pioneer unit and executive committee.

a} Enforce the provisions of the chapter and Association constitution and bylaws.

b} Decide all questions of order subject to appeal; act as judge of elections, and declare the results.

c} Have the authority to call meetings of the executive committee.

d} Be empowered to appoint committees as provided in these bylaws and such special committees as the executive committee may deem advisable.

e} Be a member ex officio of all committees except the nominating committee.

f} Ensure that the nominating committee is selected in accordance with Association guidelines and properly trained to fulfill its mission.

g} Perform such duties as usually pertain to the office or as may be delegated by the executive committee.

h} (Note)  Non-combined council presidents shall be active company employees at the time of their election, but may complete their term if they retire after being elected.

 

Section 2 - The vice president(s) of each unit shall assist the president of such unit in the discharge of duties and responsibilities.  During the absence or disability of the president, the first vice president shall have the powers, and perform all of the duties of the president.  If it appears that the office of president will be vacant for the remainder of the term, the vice president may be appointed president by the executive committee for the unexpired portion of the term.

 

Section 3 - The immediate past president of each unit shall be a non-elected member of the executive committee.  The immediate past president acts as an advisor to the president and the executive committee and often chairs the nominating committee.

 

Section 4 - The members-at-large of each executive committee will be required to take special assignments or serve on committees as the president or executive committee may assign.

 

Section 5 - The chapter Life Member representative(s) will be required to take special assignments or serve on committees as the president or executive committee may assign.

 

Section 6 - The chapter Pioneer administrator/manager, and the secretary of each subordinate unit, are the administrative officers under the direction of the unit president and executive committee and the advisement of the sponsoring company liaison and shall:

 

      a} Enforce along with the unit president, the provisions of the chapter and Association constitution and bylaws.

b} Keep accurate records of the proceedings of the unit and of its executive committee.

c} Take care of the general correspondence and have charge of all records, except those in the charge of the treasurer, if required, or as otherwise directed by the executive committee.

d} Give notice of all meetings.

e} Issue such reports as the executive committee may direct.

f} Advise and consult with the members of the executive committee and the standing committee chairpersons in their work by maintaining and interpreting Pioneer methods and practices, and aid them in advancing the best interests of the chapter and the Association.

g} Perform such duties as usually pertain to the office or as may be assigned by the president or executive committee.

 

Section 7 - A Company Manager shall be appointed a Corporate Liaison Officer serving on the executive committee and have voting privileges. The Corporate Liaison Officer shall act as a liaison between the Pioneers and BellSouth.

 

Section 8 – A Chapter Board of Directors shall be established for the purpose of reviewing policy and bringing recommendations to the Chapter Executive Committee for consideration and action.  The Chapter Board of Directors shall consist of the Chapter President, Immediate Past President, Vice-President, Life Member Representatives, Committee Members at Large, Pioneer Administrator/Manager, and Corporate Liaison Officer.  Two-thirds of the Chapter Board of Directors must be present or attending via conference call to constitute a quorum for the transaction of business. 

 

  

ARTICLE II - Election and Removal of Chapter, Council, Club, and Life Member Club Officers and Executive Committee Members.

 

Section 1 - Chapter elections shall take place by paper ballot during the business meeting at the annual Chapter Pioneer Assembly.  By June 1, nominations for Chapter Officers must be received by the Nominating Committee.  To be eligible to serve as Chapter President or Vice-President, nominees must have served as a Council/Club President or an elected member of the Chapter Staff.  By July 1 the Nominating Committee shall present its nominations to the Executive Committee.  In lieu of nominations from the floor at the annual business meeting, no later than September 1st, individuals may submit nominations to the Nominating Committee.  Such nominations shall be provided by letter signed by the nominator, the President of his/her Council/Club and four other Council /Club members and be accompanied by an approval letter from the nominee’s supervisor (if nominee is an active Company employee).  The Nominating Committee shall review all nominations to ensure nominees meet the requirements for Chapter Officers.

 

Section 2 - At least 45 days before the date set for the vote, the nominating committee of the unit shall submit to its president, a list of candidates for the elective positions of the unit.  At least 30 days before the date set for the vote, the Pioneer administrator/manager (or unit secretary) shall send to each member of the unit who is entitled to a vote, or shall post or otherwise make a good faith effort (see Note, below) to announce the slate of officers submitted by the nominating committee and the meeting date, time, and location.  At the meeting where the paper ballot election will be held, time shall be allotted for additional nominations from the floor (except Chapter elections where nominations from the floor are not allowed).  On the specified date, tellers appointed by the president of the unit shall count the votes (via paper ballot) and certify in writing to the Pioneer administrator, the results of the election. 

Note:  The administrator/manager (or unit secretary) shall ensure that all possible means of publicizing the election are utilized, including company or chapter/unit publications, posters, Pioneer hotlines, bulletin boards, and announcements or hand-outs at meetings.  All information should clearly state that nominations will be taken from the floor, including the guidelines for placing a candidate in nomination from the floor.

 

Section 3 -   Councils and Clubs will hold annual elections at a date determined by their executive committee, but no later than August 15th.  Elections within these units can be conducted by voice/hand/or paper ballot at the discretion of the executive committee.

 

Section 4 - The chapter administrator/manager shall be appointed by the sponsor company.  Secretaries and treasurers, if required, of each unit shall be appointed by its executive committee.

 

 

Section 5 - Any officer may be removed from office by a two-thirds majority vote of the chapter executive committee whenever, in its judgment, the best interests of the chapter and the Association would be served thereby.

 

 

ARTICLE III - Committees

 

Section 1 - The chapter and its subordinate units shall establish those standing committees which will help foster the fellowship, loyalty, and service of the membership.  They may also establish additional committees if size of membership, activities, or special projects make this necessary or desirable.

 

Section 2 - The established standing committees of the chapter shall be as follows.  Councils, clubs, and Life Member clubs shall establish any of these committees or other committees as required to administer their programs.

Section 3 - The duties and responsibilities of some of the committees are outlined in the Association guidelines.

 

 

APPENDIX A - Attachment 1

 

CHAPTER GUIDELINES FOR CONDUCTING PAPER BALLOT ELECTION

 

Note:  Before conducting an election, the president or presiding officer shall advise attendees of the following rules.

 

1. The election will be conducted by paper ballot

 

2. Two (2) or more (if needed) tellers will be appointed to count votes.  All tellers shall record their count for each candidate on a “TELLER’S CERTIFICATION FORM” (copy attached).

 

3. The president will withhold his/her vote except in the case of a tie.

 

4. The ballot will list nominees in alphabetical order.  Those presented by the nominating committee will be identified in parenthesis on the ballot.

 

5. In the case of a tie the president will cast his/her ballot to break the tie.

 

6. Announce the new officer - proceed to next office.

 

Note:  No motions regarding the election will be entertained following the election.  The vote will stand as recorded/announced.

1. The election will be conducted as a voice vote (aye/nay), by show of hands, or paper ballot

 

2. Two  (2)  or more (if needed)  tellers will be appointed to count votes  (if done by

show of hands or paper ballot).  All tellers shall record their count for each candidate on a “TELLER’S CERTIFICATION FORM” (copy attached).

 

3. The president will determine the ayes/nays if voice vote is utilized.  If a

determination cannot be made as to ayes or nays, ask for a show of hands and

instruct the tellers to count and record the vote.

 

4. The president will withhold his /her vote except in the case of a tie

 

5. The president will conduct elections for each office separately and will ask for

nominations from the floor before the actual election of that office.

 

6. Nominations from the floor do not need to be presented in the form of a motion,

therefore no “second” or approval is necessary.

 

7. Any candidate nominated from the floor must be present to accept the nomination or, if unavailable to attend the proceedings, must previously provide to the nominator (or president) a signed document indicating his/her agreement to accept the position if elected; and approval from his/her supervisor (if nominee is an active Company employee).

 

8. Absence of the candidate, or the signed document(s), the candidate cannot be nominated from the floor.

 

9. The candidate or nominator should be prepared to list the candidate’s qualifications for office - 3 minutes will be allotted.

 

10. The election process will commence alphabetically by last name for the position in

which there are two or more candidates.

 

11. There will be a vote for each candidate for an office - even in the event of a unanimous vote for the first candidate presented for that office.

 

12. In the case of a tie, a show of hands will prevail with the president casting his/her ballot to break the tie.

 

13. Announce the new officer - proceed to next office.

 

Note:  No motions regarding the election will be entertained following the election.  The vote will stand as recorded/announced.
